By using or purchasing SG Collective LLC’s (the “Company”, “we”, or “our”) fragrances or other products (“Products”), accessing our website, www.samirgrey.co (the “Website”), which is hosted on the Shopify e-commerce platform, or engaging with any of our services (collectively, the "Services"), you (referred to as “you” or “your”) hereby agree and accept all parts of this disclaimer (“Disclaimer”). Company Products are regulated by the U.S. Food and Drug Administration (FDA) as cosmetic products under the Federal Food, Drug, and Cosmetic Act and comply with EU Regulation (EC) No 1223/2009 on cosmetic products where applicable. For EU customers, our Products also comply with the General Product Safety Directive 2001/95/EC. You acknowledge that your purchase transactions will be processed through Shopify's secure payment gateway in accordance with applicable payment services regulations.

Company reserves the right to modify this Disclaimer, and such modifications shall be effective immediately upon posting on the Website. We may not send separate information regarding such updates. You agree to periodically review the terms herein, and we shall presume that you have reviewed or are aware of the updated terms by virtue of your continued use of our Products and Services. 

For the avoidance of doubt, this Disclaimer applies to all individuals that are using the Website, including any parent or guardian that is registering on behalf of a minor. By using the Website, purchasing a Product, or using our Services, you acknowledge and agree to the following: 

Product Claims and Safety. Our Products are formulated to be clean, vegan, cruelty-free, IFRA certified (compliant with IFRA 51 global safety regulations), CMR-free, non-endocrine disrupting, and compliant with FDA and EU regulations. We meet California Prop 65 standards for clean beauty, ensuring our formulas are free from carcinogens, mutagens, reproductive toxins, and endocrine disruptors. Our Products are free from parabens, phthalates, formaldehyde, synthetic dyes, nitromusks, propylene glycol, mineral oil, known carcinogens, and animal-derived ingredients. While we take every precaution to ensure product safety, individual reactions may vary. Before using our Products, please review the ingredient list and perform a patch test on a small area of skin. Avoid contact with eyes or irritated skin. If eye contact occurs, rinse thoroughly with water and seek medical advice. If skin irritation occurs, discontinue use immediately and consult a healthcare professional. Our Products have been evaluated by the FDA as cosmetic products under the Federal Food, Drug, and Cosmetic Act.

Product Ingredients and Allergen Notice. Our Products contain: Alcohol Denat., Fragrance (Parfum), Water. The fragrance contains: Tetramethyl Acetyloctahydronaphthalenes, Vanillin, Benzyl Salicylate, Alpha-Isomethyl Ionone, Benzaldehyde, Benzyl Alcohol, Eugenol, and Benzyl Benzoate. Some of these ingredients are known allergens as defined by EU regulations. If you have known allergies or sensitivities, please review the complete ingredient list before use. California Residents: This product complies with California Proposition 65 requirements.   

International Use and Compliance. Our Products are primarily intended for sale in the United States. For EU customers, we comply with all relevant EU regulations including EC 1223/2009 on cosmetic products and provide mandatory product information through our Product Information File (PIF). While we may ship to other countries, you are responsible for ensuring compliance with your local laws and regulations regarding the import and use of fragrances and cosmetics. Some ingredients may be restricted in certain jurisdictions. EU consumers benefit from additional statutory rights under EU consumer protection law, including a 14-day cooling-off period for online purchases. By purchasing our Products, you warrant that you are in compliance with your local regulations regarding the import and use of fragrances. 

Notice Regarding Your Financial Responsibility for Services and E-commerce Transactions. By engaging in Company’s Services and making purchases through our Shopify-powered store, you agree that all Services are on a personal, private-pay basis, and that you are solely responsible for all Product purchases incurred. All payments are processed securely through Shopify Payments or other authorized payment providers integrated with our Shopify platform. 

Personal Responsibility. We aim to accurately represent the information provided on the Website. You acknowledge that you are purchasing Products and using and/or engaging with the Services and/or Website, voluntarily and that you are 100% solely and personally responsible for your purchases and actions while doing so. You agree to use your own judgment and effort before making any purchase. 

No Guarantees. Company does not guarantee that you will attain a particular result from using our Products. 

Testimonials. The Website may present real world experiences, testimonials, or insights about other people’s experiences for illustration purposes only. They are not intended to represent or guarantee that current or future clients will achieve the same or similar results or experiences. 

Assumption of Risk. There may be unknown risks or circumstances that arise. Company is not responsible for your personal choices or actions before, during, or after using the Products, Website, or any Services. You agree and understand that any mention of a recommendation on or through the Website and/or the Services are to be taken at your own risk. You accept full responsibility for the consequences of your use or non-use of any information provided by Company or from any person acting on behalf of Company. 

Limitation of Liability. Company will not be held liable or responsible for any damages arising from the use or misuse of our Products, including but not limited to skin reactions, allergic responses, or other adverse effects. You acknowledge and agree to the fullest extent allowed by applicable law that under no circumstances will you hold Company or any affiliated representative liable for any type of damages, including direct, indirect, incidental, special, consequential, or equitable damages resulting from the use of our Products or Services. Our liability shall be limited to the purchase price of the Product in question. This limitation applies even if we have been advised of the possibility of such damages. Company does not assume liability for any loss, damage, accidents, personal or business interruptions, injuries, or any type of loss or damage or otherwise, due to any act or default by Company or any affiliated representative or sub-contractor, or any person acting on behalf of Company. 

Health and Safety Risks. While our Products are thoroughly tested for safety, fragrances may cause allergic reactions or sensitivity in some individuals. We are not responsible for any adverse reactions, injuries, or damages that may occur from using our Products. You acknowledge that you have reviewed all ingredients and warnings, performed appropriate patch testing, and accept any inherent risks involved with using fragrances and cosmetic products. If you experience any adverse reaction, immediately discontinue use and seek medical attention. You agree to hold Company harmless from all liabilities related to your use of our Products. 

Storage and Usage Instructions. Our Products should be stored in a cool, dry place away from direct sunlight, heat, sparks, and open flames. Products are intended for external use only. Avoid contact with eyes or irritated skin. In case of eye contact, rinse thoroughly with water and seek medical advice. Do not ingest or apply to mucous membranes. Keep out of reach of children and pets. Due to flammable contents, store below 120°F (49°C) in a cool, dry place. Handle glass bottle with care. In compliance with EU Regulation 1223/2009, all products display the Period After Opening (PAO) symbol and should be used within 36 months of manufacture (see batch code) or within 12 months after opening, whichever comes first. All required safety information and ingredients are listed in accordance with the International Nomenclature of Cosmetic Ingredients (INCI) as required by EU regulations. Failure to follow proper storage and usage instructions may result in Product degradation or safety risks. Company strives to collect only the minimum amount of personal data that is necessary to execute the Services successfully and fully, in compliance with GDPR and other applicable data protection regulations. You have the right to object to automated decision-making and profiling, request human intervention, express your point of view, and contest any automated decisions affecting you. Company is committed to respecting your privacy and aims for full transparency on how it uses the collected information to comply with lawful or other legal purposes. Company may process communication data, customer data, user data, technical data, and/or marketing data to deliver the Website and its content and/or the Services. Company may use your data to send certain marketing communications to you. Please review Company’s Privacy Policy for more information on data collection policies and use. 

Indemnification and Release of Claims. You hereby agree to fully and completely indemnify, release, and hold Company harmless from all liability, damages, claims, including, but not limited, to those related to lost profits, business or personal interruptions, personal injuries, accidents, causes of action, allegations, suits, claims, demands, misapplication of information or any type of loss or damage that may arise from any past, present, or future activity or that arises from your participation in, use or relation to the Products, Website, and/or Services. When you access the Website or engage with the Services, you agree that you are solely liable and responsible for any issues, errors, omissions, actions, or consequences resulting therefrom. 

Errors, Omissions, and Limitations. Company takes vigilant efforts to ensure that the information conveyed on the Website or provided through the Services is accurate, however, such information may inadvertently contain errors or inaccuracies. You agree to independently verify any critical information obtained through our Website. Company is not responsible for the opinions, views, or accuracy of facts referenced on or through the Website.  

No Warranties. Company makes no express or implied representations or warranties of any kind and disclaims all warranties of merchantability and fitness for a particular purpose.  

Force Majeure. No party shall be liable or responsible to the other, nor be deemed to have defaulted under or breached this Disclaimer, for any failure or delay in fulfilling or performing any term of any such agreement related to Company, when and to the extent such failure or delay is caused by or results from acts beyond the impacted party’s (“Impacted Party”) control, which shall include but not be limited to, illness, emergency, fire casualty, strike, unsafe environment, threat, act of God, or pandemic (“Force Majeure Event”). The Impacted Party shall give notice to the other Party within ten (10) days of the Force Majeure Event, stating the period the occurrence is expected to continue. The Impacted Party shall resume the performance of its obligations as soon as reasonably practicable after the removal of the cause.  

Affiliates. Company may from time to time promote or partner as an affiliate. For purposes of transparency, Company wants you to be aware that there may be circumstances where Company promotes or markets for partners and in exchange, will receive financial compensation in the form of affiliate fees and/or other forms of rewards. In these instances, note that Company is highly selective as to the people, programs, products, and services of whom promotions may involve. Additionally, any promotion or marketing does not serve as any form of endorsement by Company. You are required still to use your own judgement when using or purchasing any such affiliation program, product, or service as Company waives all liability as related to any of these affiliation programs that you may engage in.
